Naschitz Brandes Amir boasts one of Israel’s leading Securities and Capital Markets practices.  Our Securities and Capital Markets practice provides legal advice to global and domestic companies, issuers, underwriters and shareholders on a wide range of issues, including IPOs, secondary offerings, equity, convertible and debt securities offerings, tender offers, public disclosure and reporting, corporate governance and other regulatory matters. 

Our Securities and Capital Markets practice is divided into to two main segments:

Global Securities and Capital Markets Practice: Our firm has unparalleled experience representing Israeli issuers, shareholders and global investment banks and underwriters in cross-border securities offerings of Israeli companies on NASDAQ, the New York Stock Exchange and the London Stock Exchange, whether SEC-registered, Reg S or Rule 144A offerings.  We provide ongoing advice on all regulatory matters to Israeli companies whose securities are traded in the U.S. and Europe, as well as to many "dual listed" companies whose shares trade both in the U.S. and on the Tel Aviv Stock Exchange. 

Several partners in our Global Securities and Capital Markets practice have years of experience at leading U.S., U.K. and global law firms and are admitted to practice in New York, enabling our global practice group to provide highly professional and prompt local time support to the firm’s large roster of global public company clients. Our Global Practice works closely with U.S. and U.K. and global top tier law firms. 

Local Securities and Capital Markets Practice:  Naschitz Brandes Amir’s domestic capital markets practice has significant experience and expertise in working and advising Israeli listed companies in all aspects of securities and company law including  IPOs, right and other offerings, equity, convertible and debt securities placements, tender offers, interested party transactions, public disclosures and reporting, corporate governance and other regulatory matters. Members of our firm are requested to regularly advise Israeli listed companies and senior corporate organs on a broad range of legal and corporate governance matters applicable to such companies in Israel.  In advising the same, our firm works closely with the Israel Securities Authority and the Tel Aviv Stock Exchange.
