Leveraged Buyouts and Recapitalizations

 

We act as counsel to private equity funds, portfolio companies, and management teams in all aspects of leveraged acquisitions, recapitalizations, and other related private equity transactions, including acquisitions and divestitures, senior and mezzanine financing, equity financing, and seller financing.

 

Venture Capital Financing

 

We have substantial experience representing venture capital investors and portfolio companies in private equity transactions from seed stage and first-round investments to later stage and follow-on investments. Together with attorneys in our Capital Markets and M&A practices, we advise our fund and portfolio company clients in connection with private placements, structuring, and executing exit and partial liquidity transactions.

 

From the enterprise side, we offer a broad range of services in support of all aspects of establishing and growing the company, including business plan review, business structuring, and debt and equity financing. We routinely advise entrepreneurs and emerging businesses on the mechanisms available to them to fund their business ventures.

 

Fund Formation

 

We represent private equity sponsors, investors, and placement agents, in connection with the formation, regulation, and operation of pooled investment vehicles or funds. Our lawyers also represent these funds in acquisitions, financing, and exit transactions and provide transactional and general corporate advice to portfolio companies.

 

In many cases, we also handle the formation of mirror funds in various locations to invest in tandem with Israel-related portfolio companies. We also provide guidance on legal and administrative requirements, including Israeli and international tax issues, preparation of offering documentation, drafting management agreements, negotiating terms and conditions of transactions, investments and divestments of funds, investor relations, liquidation of funds, and reporting issues.
